Who we are

These terms are between NERV AI BV, Antwerpsesteenweg 840/301, 9040 Gent, Belgium, company number BE 1036.471.823 (“NERV”, “we”), and the business that signs an order form with us (“you”). For questions, email contact@nervai.eu.

NERV sells to businesses only, not to consumers.

What NERV is

NERV is the B2B inbound agents: two AI agents that work from your company’s brain.

• Your company’s brain holds what your business knows: what you sell, who buys it, your goals and your decisions. It stores and manages that knowledge. It does not act; the agents do.
• The leads agent works to get you found by buyers and to bring in inbound requests. Its work ends at a submitted request.
• The deals agent works to turn each inbound request into a held first meeting with a buyer who fits. Its work ends at that meeting. Your salespeople run the meeting and close the deal.

You take one agent or both. Both share one brain. The brain is not sold on its own: every build includes at least one agent.

We build NERV into the tools you already use, set it up with you, maintain it and check the agents’ work for quality. A person at your company, usually the one who owns inbound, runs it day to day.

NERV does not send cold messages to people who did not ask, and does not cover work after the first meeting, such as proposals, contracts, closing or customer success.

How it works

1. You book a free 30-minute call with one of our inbound experts.
2. If we both want to go further, we quote the Inbound Audit: a fixed-scope review of your inbound. If you then sign a build, the audit fee counts toward it, as set out in the order form.
3. We agree the scope, the agents you activate and your monthly plan in an order form that we both sign.
4. We build your agents and your company’s brain into your tools and set them up with you.
5. From go-live, your person runs NERV and we maintain it.

This website

This site describes NERV and lets you ask for a call. Nothing on it is an offer you can accept online. An engagement starts only when we both sign an order form.

Order of documents

Your engagement is governed by, in this order of priority: the signed order form, the data processing agreement, and these terms. If they conflict, the document higher in that list wins.

Fees and payment

• Build fee. A one-off fee for the agents you activate, with your company’s brain set up inside the build.
• Monthly plan. A monthly fee that includes a monthly allowance of credits. Credits pay for the work the brain and your agents do, and are shared by both agents when both run.
• AI usage. NERV pays all AI model and data lookup costs behind your credits. You never receive an AI bill from us or from our providers.
• Credits running low. Your person gets a warning at 80 percent of the month’s credits. If credits run out, drafting work pauses until the next month or a top-up, but NERV keeps watching: new inbound requests are still picked up and your person is alerted. Your person approves every top-up.
• Your own tools and ad spend. You pay your own ad budgets, ad accounts, CRM, calendar and other tools directly to their providers. They are not part of NERV’s fees.
• Current build fees and plans are on our pricing page. The fees, credit allowance, payment schedule, minimum term and top-up terms that apply to you are set out in your order form.
• All prices are in euros and exclude VAT. VAT is added where it applies.
• Invoices are sent by email. Payment is due within 7 days of the invoice date, unless your order form says otherwise.
• Late payment carries interest and a fixed compensation for recovery costs under the Belgian law of 2 August 2002 on late payment in commercial transactions.
• If an invoice is still unpaid 30 days after its due date, we may pause the agents after giving you written notice, until it is paid.

Your person and approvals

NERV works with a person in the loop. A person approves every message a buyer sees, or the template it comes from.

Your person also decides on money, legal matters, commitments of someone’s time beyond the booking rules they set, tone, and anything outside the approved playbook. NERV spends no money on your behalf, such as ad budgets, bids or top-ups, without your person’s approval.

You are responsible for what your person approves, and for giving NERV accurate information about your business.

Results

We build NERV to get you more inbound leads and turn more of them into deals, and we measure it on requests, meetings and pipeline. We do not guarantee any number of leads, meetings, deals or revenue. Any response times or review rhythms we agree are how we operate NERV, not a guarantee of results.

Your data

• Every company gets its own private brain and database, on EU infrastructure, never shared with another company.
• You own your data. We use it only to provide NERV to you.
• When NERV processes personal data for you, such as the details of people who send you inbound requests, you are the controller and we are the processor. A data processing agreement under article 28 of the GDPR forms part of your order form and names the providers we use.
• You are responsible for having a lawful basis to process and contact the people in your inbound pipeline.
• When an engagement ends, we export your data to you on request and then delete it within 30 days, unless the law requires us to keep it.

Confidentiality

Each of us keeps the other’s non-public business information confidential and uses it only for the engagement, during the engagement and for [3] years after it ends. This does not cover information that is public, already known to the receiving side, or that the law requires us to disclose.

Intellectual property

• You own your data and the content NERV produces for you, such as ads, pages and messages, once it is paid for.
• NERV, its software, its agents, the engine they run on, the brain’s built-in go-to-market knowledge, and our general methods, frameworks and templates remain ours. During your engagement you have the right to use them for your own business.
• We may keep using our general methods, frameworks and templates, which are not unique to your build, in future work.

What we are not

NERV is business software that we build and maintain for you. We do not give legal, financial, tax or medical advice. Decisions made using NERV are your responsibility.

AI can make mistakes. That is why a person approves what buyers see and how money is spent. Check important outputs before you rely on them.

Third-party tools and AI models

NERV runs inside your tools and uses third-party AI models and services. We are not responsible for changes, outages or decisions made by those providers, including an ad platform rejecting or limiting your ads. When a provider changes something that affects NERV, we adapt NERV as part of maintenance where we reasonably can.

Limitation of liability

We build NERV to work reliably, but we cannot guarantee uninterrupted or error-free operation, especially where third-party tools and AI models are involved.

Our total liability under an engagement is limited to the fees you paid us in the 12 months before the event that caused the claim. We are not liable for indirect loss, such as lost profit, lost revenue, lost data you could have restored, or lost opportunities.

Nothing in these terms limits liability for fraud, intentional fault, or anything else the law does not allow us to limit.

Term, ending and refunds

The start date, minimum term, notice period and what happens to fees already paid if either of us ends the engagement are set out in your order form.

Either of us may end the engagement with written notice if the other seriously breaches it and does not fix the breach within 30 days of being told.

Acceptable use

You agree not to use NERV:

• for anything illegal or harmful;
• to send cold or unsolicited messages to people who did not ask to hear from you;
• in breach of the terms of the third-party tools connected to it.

Governing law

These terms are governed by Belgian law. Any dispute goes to the courts of Ghent, Belgium.

Changes

We may update these terms. When we do, we change the date at the top of this page. A change does not alter a signed order form during its term unless we both agree in writing.
